1. Acceptance and scope

This EULA is between you and Justin Farmer DBA Vesper Desk ("Vesper Desk," "we," "us"). It covers released Vesper Desk executable software and accompanying documentation made available to you (the "Software"). Accept this EULA through the acceptance control supplied with installation or activation before using the Software. You must meet the Terms of Service eligibility rule: at least 13, with a parent or guardian's agreement if you are under the age of majority. If you do not agree, do not install or activate it; any purchase remains subject to the Refund Policy and mandatory law.

Our Terms of Service govern hosted services, accounts, subscriptions, and disputes. Our Privacy Policy explains information processing. Our Refund Policy controls refunds. Mandatory law takes priority; otherwise, this EULA controls software-license questions and the Terms control other service questions. The Privacy Policy controls our information disclosures; acceptance of this EULA is not consent to optional telemetry.

2. License grant

Subject to this EULA, your applicable plan, and any non-excludable legal rights, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control for your lawful personal use, or internal organizational use if permitted by the purchased plan. You may keep a reasonable backup copy for permitted use. The Software is licensed, not sold. We reserve rights not expressly granted.

"Revocable" means we may end this license under Section 7, not withdraw prepaid rights arbitrarily. Paid rights last for the purchased term unless properly terminated; free rights may end on reasonable notice where lawful. Expiry of a paid plan restricts paid features rather than removing any separately offered free license.

3. Restrictions and legal exceptions

Except through authorized functionality, written permission, applicable third-party licenses, or mandatory law, you must not:

  • copy the Software beyond authorized installations and reasonable backups; modify, translate, or create derivative works of proprietary code;
  • reverse engineer, decompile, disassemble, or attempt to obtain proprietary source code;
  • programmatically extract proprietary assets, databases, or third-party content, scrape the Service, or harvest information through unauthorized automation;
  • bypass authentication, license checks, security controls, or plan limits, or remove ownership notices;
  • sell, rent, lease, sublicense, redistribute, or host proprietary copies for third parties, or provide a commercial service bureau using the Software without permission;
  • introduce malware, interfere with other users, or record, rebroadcast, or redistribute third-party streams or chat without a lawful right.

These restrictions preserve non-excludable rights, including applicable rights to observe or test a program during lawful use, make necessary backups, perform legally permitted interoperability decompilation, and exercise applicable exhaustion or transfer rights. They do not restrict open-source rights, supported export of your own content, authorized APIs, or lawful privacy requests. We do not require permission for an activity where law makes contractual restrictions invalid. A published plugin interface authorizes development only within its stated scope; it does not grant rights to unrelated proprietary code.

4. Ownership and your content

The Software, code, design, proprietary infrastructure, and branding belong to us or our licensors. You keep your rights in your User Content, subject only to the limited operational license in the Terms. Viewing content through the Software gives no ownership or redistribution rights in that content. Open-source components and third-party materials retain their own licenses, which control the relevant components if they conflict with this EULA. Applicable notices accompany the distribution or are supplied through its legal-notices interface.

5. Updates, supported versions, and online features

The Software may check for updates and, where disclosed and authorized, install them automatically. Required compatibility or security updates may be necessary for online features. We provide legally required updates and explain material changes and consequences of declining updates. We do not remove mandatory conformity obligations through this clause. Separate license terms apply only if presented and validly accepted where required.

Some features require an account, internet access, a supported platform, or a paid plan. Feature limits and requirements are disclosed with the offering. Third-party access can change, but we remain responsible for our own contractual and statutory obligations. A planned module, mobile build, or integration is not included until actually offered. If a mobile app is distributed later, the applicable store terms and required platform-specific supplemental terms will be provided with that distribution.

6. Privacy and integrations

We process personal information under the Privacy Policy, including local settings, authorized cloud content, connected-platform credentials, optional desktop telemetry, and diagnostics as described there. Hosted security and operational data are distinct from desktop sharing choices. Review permissions before enabling integrations or modules; third-party operators may have separate privacy practices. This EULA grants no blanket consent to collection or tracking.

7. Suspension and termination

You may end this license by stopping use and removing proprietary copies. Uninstalling does not itself cancel subscription billing; cancel through the method in the Terms and receipt.

We may suspend or terminate the license for a material breach, a legal requirement, or a demonstrable serious security or fraud risk. We ordinarily provide notice and a reasonable opportunity to cure a remediable breach. Immediate termination is reserved for serious abuse, fraud, legal necessity, or circumstances where notice or cure would be unsafe or impracticable. The Terms govern disputes and challenges to termination.

On valid termination, stop using and remove proprietary copies covered by the ended license, subject to lawful archival, evidence, third-party license, and data-retrieval rights. If a free license remains available, its permitted use continues. If we terminate prepaid rights without your material breach, we refund the affected unused period. Sections concerning ownership, lawful restrictions, accrued obligations, and applicable liability and disputes survive as necessary.

8. Refunds, warranties, and liability

Seven-day first-payment refund: a new subscriber requesting a refund within seven calendar days after their first subscription payment receives a full refund of that payment under the Refund Policy. Statutory withdrawal and defect remedies remain available independently, including after seven days where applicable.

The Terms' Sections 9–10 apply to the Software and are incorporated here: disclaimers apply only where lawful; mandatory warranties, consumer guarantees, conformity and update rights remain intact. Business-user liability is subject to the single aggregate cap of the greater of USD $100 or Vesper Desk fees paid in the 12 months before the event giving rise to the claim. Consumer claims are governed by the reasonably foreseeable loss standard in the Terms, without that business-user cap. Liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, and non-excludable liability or rights is not excluded or limited. Express refund commitments are not reduced by the cap.

9. Export, governing law, and general terms

Comply with export-control and sanctions laws applicable to your use. This does not assert that every country or user is prohibited; restrictions apply only as the law provides.

Kansas law and applicable United States federal law govern this EULA subject to mandatory protections where you habitually reside. The dispute procedure and business/consumer court distinctions in Terms Section 12 apply. Informal resolution is voluntary; there is no compulsory arbitration or class-action waiver in these documents. Privacy complaints and local mandatory remedies remain available.

Material amendments follow the Terms' notice and acceptance rules, apply prospectively, and do not remove purchased rights or statutory protections retroactively. Assignment, severability, and notices follow Terms Section 13. Contact Justin Farmer DBA Vesper Desk using the details above.
